Healthcare: Gpi, agreement with Tesi for the acquisition of 65%

(ANSA) – TRENTO, MAY 23 – Gpi spa announces that it has signed an agreement for the acquisition of 65% of the share capital of Tesi Elettronica e Sistemi Informativi spa, with respective “put & call” options on the remaining 35%. The consideration for the acquisition of 65% of the investment in Tesi will be paid entirely in cash and will be made through the payment of the amount of 58.5 million euros with a deposit of 8 million on signature, 28.3 million to be paid at closing which will take place by 30 September 2022, and the remaining amount of 22.2 million euros by 31 January 2023. The parties have also agreed on a mechanism for calculating the consideration relating to the residual share of 35%, which may be between one minimum amount of 0 and a maximum of 63 million euros, based on the consolidated results of the Tesi group for the year 2024.

Tesi and its subsidiaries (two Italian companies and three foreign companies in Mexico, Brazil and Colombia) form the Tesi group, a player in the development of information technology solutions for the healthcare world. For the thirty GPI, the acquisition involves a significant expansion of ASA software, with an increase in market share in Italy and greater geographical diversification, especially abroad, where the Tesi Group achieves approximately 64% of its revenues. Tesi’s software solutions complete Gpi’s offer in the areas of diagnostics (analysis laboratories and pathological anatomy) and imaging of the radiological, clinical and surgical departments. The offer of software for blood banks and for hospitality is also strengthened.
