Cade’s Superintendence declares as “complex” the sale of Sanofi’s assets to Hypera

A General Superintendence of the Administrative Council for Economic Defense (Cade) declared the purchase of Sanofi assets by Hypera (HYPE3), according to an order in the Diário Oficial da União on Monday.

The deal, announced in July, involves the acquisition of 12 over-the-counter and over-the-counter drug brands in the Brazil, Mexico e Colombia for 190.3 million dollars. Among the products are the analgesic AAS, the herbal medicine Naturetti and the antiseptic Cepacol.

In a technical note, the agency said that the analysis carried out shows high concentrations in sectors of the laxatives, stimulants and nasal decongestants sold by prescription.

Cade requested new information within 30 days and reiterated that, if necessary, the case may be decided by the body’s Court.

In November, Hypera announced the sale to the laboratory Eurofarma of pharmaceutical products portfolio in Colombia and Mexico for US$51.6 million.

According to Hypera, these assets were part of the negotiation with Sanofi.
