Carrefour (CRFB3) will close capital in Brazil; French controller obtains shareholders’ approval

THE Carrefour France obtained approval to close the capital of its Brazilian division, the Carrefour Brasil (CRFB3)-or attack-after voting at the shareholder assembly on Friday (25). The company did not report the percentage of approval in the Assembly.

As a result, the company in Brazil will only be able to issue only debt securities, such as debentures, for example.

It is worth remembering that, after questions about the price per share initially offered by the French controller, Carrefour France raised the proposal from $ 7.70 to $ 8.50 per share, thus increasing the award for shareholders.

The new value represents a 46.2% prize on the shares Weighted Average Price (VWAP) last month before February 10, 2025 and 39% compared to VWAP of the three months prior to the same date.

Carrefour França’s proposal

In February, the Carrefour Francecontroller of the food retailer, announced to the market the launch of the offer to close the capital of the Brazilian subsidiary.

The intention of the controller is to transform the company into an integral subsidiary, taking 100% of the capital of the Brazilian. Today, the holding company has a stake close to 70% of the retailer, according to B3 data.

The operation foresees the closure of the capital of Carrefour Brasil, which would be able to issue only debt securities, such as debentures, for example.
